Earn 10% of everything you bring in.

1. The program. Eclipse Quantitative LLC ("Eclipse") pays partners ("you") a commission on revenue from customers you refer. Anyone with an Eclipse account can join, except people in, or ordinarily resident in, a country or region under comprehensive sanctions. You take part as an independent contractor, not as an employee, agent or representative of Eclipse.

2. Referrals. Someone becomes your referral when they use your link or enter your link's name as an invite code, and their Eclipse account is not already a partner's referral. It happens when they sign in or start a plan after using your link or code, or when they enter your code on an account they already have. If they used more than one partner's link or code, the last one used before that counts. A referral who has not bought a plan, and on whom no commission has been earned, may change to another partner's code, and is then that partner's referral. Once they have bought a plan, a referral never moves to another partner. You earn only on what a referral pays, and on trading fees they generate, after they became your referral. You cannot refer yourself, an account you control, or someone who referred you.

3. Your link. You choose your link's name when you join, and it can't be changed afterwards. Any link you have held keeps working for you and is never given to anyone else. A name may not pass for Eclipse or anyone else.

4. Their discount. Your referrals get 10% off every plan payment for as long as they keep a plan. Eclipse pays for the discount: it never comes out of your commission.

5. Commission. You earn 10% of each referral's plan payments at full price, before their 10% discount, less any account credits, refunds and chargebacks, and 10% of the HyperLiquid builder fees on orders they place through Eclipse's trade panel where live trading is available. A trading fee counts only when HyperLiquid's records show it was paid to Eclipse, from a wallet proven to belong to your referral.

6. How long. You earn on a referral for as long as they pay Eclipse and you remain in the program.

7. Holding period. A commission on a plan payment becomes payable 30 days after that payment. If the payment is refunded, disputed, charged back or flagged as fraud, the commission is cancelled; if it was already paid out, the amount comes off your next payouts, of either kind. A dispute Eclipse wins restores it. A commission on trading fees becomes payable the day after the fees were paid.

8. Payouts. Commissions on plan payments and commissions on trading fees are paid separately. Plan commissions are paid in US dollars to the bank account you add on your partner page: Stripe makes the transfer, converts it to your currency where needed, and keeps your bank details. Trading commissions are paid in USDC on HyperLiquid to the payout wallet on your partner page. Each is paid after you request it on your partner page, which you can do once its payable balance is $50 or more; we aim to pay a request within a few business days. Smaller balances carry over. New or changed bank details, and a new or changed payout wallet, are used only after 7 days. Where a bank payout cannot be made, for example to a country Stripe does not pay out to, we may pay plan commissions in USDC to your payout wallet instead. To be paid you need either an active Eclipse subscription of your own, or at least 3 referrals who have each paid for a plan (a payment that was not refunded or charged back); trading fees do not count towards the 3. Until then your commissions are kept for you and paid once you qualify. A payment sent to the bank account or wallet you provided is final; if your bank returns a payment, its amount becomes payable again.

9. Taxes. You need no tax form while your payouts in a calendar year, of both kinds together, are under $600. Once what you have been paid in the year plus what is ready to be paid reaches $600, you must upload a completed and signed IRS form on your partner page, and no further payout of either kind is made until we have accepted it: a W-9 if you are a US person (a US citizen, green card holder or US company), a W-8BEN if you are anyone else, or a W-8BEN-E for a company outside the US. It is stored privately and used only for tax reporting. You are responsible for the taxes on your commissions. US partners may receive a Form 1099.

10. Disclosure. Wherever you share your link, you must clearly say that you earn a commission, for example "#ad" or "affiliate link", as the FTC and similar rules where you live require.

11. What you may not do. Make claims about trading returns or indicator performance; send spam or unsolicited messages; bid on "Eclipse" or similar terms in paid search ads; pretend to be Eclipse or its staff; create fake or duplicate accounts; open your link for someone without them choosing to follow it; or encourage anyone to get around Eclipse's regional restrictions, including with a VPN. Live trading is not available in restricted regions, including the United States.

12. Review and fraud. We may review any referral before paying it, and may withhold, cancel or reverse commissions we reasonably believe come from fraud, self-referral or a breach of these terms. While your partner account is suspended, new sign-ups through your link do not count and payouts are paused.

13. Your information. Referrals are anonymous to you. You see how many people clicked your link, how many bought a plan through it and how many are paying now, and each commission with what it was for (for example a Pro renewal or trading fees), never who they are: no name, email, username or wallet. Do not use what you see for anything else.

14. Changes and leaving. We may change these terms or end the program with 30 days' notice. You may leave at any time by asking us to close your partner account. When you leave, commissions already payable are still paid, except any withheld under "Review and fraud".

15. Liability. Eclipse's total liability to you under this program is limited to commissions owed and not yet paid.

16. Governing law. These terms are governed by the laws of Wyoming, the same as Eclipse's Terms of Use.
